Since the release of the King Report on Governance for South Africa 2009 (King III) in March 2010, companies should know the standards of skill, ability and performance that are expected of directors. When the prerequisite criteria are lacking from directors, or haphazardly applied, severe forms of penalties can be applied against the company and its failing directors. Therefore it is no surprise that some companies have implemented various forms of internal polices to guide their leadership in terms of considered good business practices and benchmarking.
In addition to King III, other codes across the globe, including the Turnbull Report (UK: 1999), the Codex (Germany: 2002) and the Higgs & Smith Reports (UK: 2003), equally espouse ethical business practices. One thing that is common to all of these governance codes is the need for companies and their leadership to report on their adherence to their corporate governance commitments. This has highlighted the importance of having directors, executive and non-executive, who are knowledgeable, skilled and share a similar ‘chemistry’ found within sound corporate governance principles and practices.
Both CGF and Executives Online have extensive reach within the local and international markets and their strategic alliance will undoubtedly bring much needed relief to companies in their quest to find the right calibre individuals with the skill-set mix to serve on boards, be these executive and non-executive directors.

The governance reports cover numerous facets such as; King I, II, III, PFMA, MMFA, BEE, Diversity Management, Records Management, Nepotism, Party Political Funding, PPPs, Millennium Development Goals, Risk Management, IT Governance and Succession Planning, including a variety of local and international commissions, laws, reports and articles that highlight many interesting areas as they pertain to running a healthy business. CGF’s reports further deal with issues ranging from the role and responsibilities of directors, company secretaries and auditors, social and economic impacts through to multiple governance recommendations.
The Fast Tracking Company Officers Manual

The global business community has embarked on a drive to entrench appropriate Corporate Governance practices to shape future strategic direction and guide operational conduct. Corporate Governance has emerged as a discipline that needs to be thoroughly understood by all, but principally by those who exercise, or advise on, fiduciary duties. Corporate Governance is the cornerstone of a sustainable organisation and extends well beyond the boundaries of any individual profession, process, horizon or hierarchy. It is essential to understand it in all its breadth and depth.
In these times of increased corporate scrutiny and governance reforms, public and private organisations need to trust that their existing and aspiring directors and executives have a comprehensive understanding of their duties and responsibilities.
CGF’s publication, Fast Tracking Company Officers Manual, provides a simplified account of those matters covered in the Companies Act 71 of 2008 whilst integrating King III related recommendations, and relevant principles of Common Law.
Executives Online is happy to be able to offer the opportunity to purchase a copy of the Fast Tracking Company Officers Manual directly from CGF.
